Patricia A. Koval is a partner of Torys LLP in Toronto. She specializes in corporate-commercial law with primary emphasis on corporate finance, securities regulation, mergers and acquisitions and governance. She regularly acts for companies and investment dealers in structuring public and private financings, acquisitions, divestitures and corporate reorganizations. She has frequently advised Canadian and foreign acquirors and North American target companies in the context of public take-over bids, going private transactions and other related party transactions and has extensive experience in advising directors and independent committees of directors in such transactions. Pat is a former member of the Securities Advisory Committee of the Ontario Securities Commission, a group of lawyers appointed by the Government of Ontario to provide assistance in developing and drafting amendments to Canadian securities legislation and policy statements. Pat also acted as counsel for the Task Force appointed by the Government of Ontario to advise on the granting of rule-making authority to the Ontario Securities Commission and subsequently advised the Government of Ontario on the finalization of the rule-making legislation. Pat is a regular participant in business conferences and legal education programs focused on corporate finance, mergers and acquisitions, directors' responsibilities and corporate governance and she is the author of several articles in these areas. Pat has an Honours Bachelor of Arts degree in Economics and is a graduate of the joint LL.B/M.B.A. programme at Osgoode Hall Law School and York University's Schulich School of Business. Contact:
