The words “principle” and “policy” have been very common in legal discourse, but their meaning is far from self-evident. Are the two concepts to be contrasted with each other, or are they interrelated, and, if so, in what ways? To what extent does each concept imply or import elements of the other? These questions will be addressed in the light of past and present contract law, and in the context of the contractual concepts of intention, autonomy, promise, bargain, consideration, inequality of exchange, mistake, frustration, impossibility, public policy, enforcement, and remedies. The course will take the form of a seminar with class presentations.

Evaluation
Class presentation (25%), and a written paper (75%), of about 6000 words, or a minimum of 7,500 words if submitted as a supervised upper year research paper. Students may satisfy the Perspective requirement and may request to write a Supervised Upper Year Research Paper in this course.
