This course satisfies the International/Comparative/Transnational course requirement.

One of the most important ongoing legal issues for all governments and businesses is good governance. How to ensure informed, impartial, ethical, open, responsible and accountable decision-making is a major challenge that has legal implications for every area of government and business operations. This course will: cover Canadian laws and leading court rulings that set out government and business governance, ethics, transparency, sustainability and stakeholder rights standards; compare federal Canadian and Ontario standards, with some comparison also to the U.S. and other jurisdictions, and; explore research on effective incentives and disincentives for ensuring good governance and ethical decision-making, and reasons for different standards in governments compared to businesses.

Evaluation
Essay of 6,000-7,000 words (80%) and class participation (20% -- attendance, participation and leading one class discussion).
