The instructor will use TWEN (The West Educational Network) rather than Blackboard. At the start of the course I will distribute a course password for enrollment on TWEN. General instructions for enrolling on TWEN can be found in the course syllabus (distributed with the supplementary materials for the course).

This course is concerned with the law of business corporations. The purpose of the course is to provide the student with an understanding of the basic principles of modern business corporations law in light of the current statutory regimes and evolving case law. Particular emphasis will be placed on the duties and responsibilities of directors and officers, and their relationship to the shareholders. This necessarily involves both a pragmatic or functional look at the modern corporation as well as a theoretical or jurisprudential examination of the corporation and the parties interested in its operation.

Evaluation
Will be by final 3-hour open book examination. The examination will consist of a combination of essay and short answer questions.
